Terms & Conditions

1. Subject

GAEA Global offers its professional customers an online shopping service via the website www.gaea-global.com, enabling the purchase of both food and non-food products.

Only products listed and available for sale on www.gaea-global.com, are subject to these Special Terms and Conditions of Online Sale.

2. Conditions of Access

Access to the online sales service is reserved for registered GAEA Global customers holding an active customer account.
Each customer is responsible for maintaining the confidentiality of their login credentials and all activities conducted through their account.

3. Obligations

GAEA Global’s Obligations

To provide accurate, transparent, and up-to-date information about all products offered for sale, including but not limited to their origin, price, and product images.

To issue complete and valid invoices and receipts upon payment and delivery.
To deliver products according to the delivery schedule confirmed to the customer at the time of order.

Customer’s Obligations

To provide complete and accurate information necessary for order processing and delivery, including address, contact details, and invoicing information.

To ensure payment is made in accordance with agreed terms.
To accept deliveries at the specified time and place.

4. Order Placement and Confirmation

Orders must be placed online via www.gaea-global.com, by an authorized GAEA Global customer.
The Customer is fully responsible for all orders placed under their account credentials.

Upon validation of the order and successful payment, an order number will be automatically generated.
A confirmation message (“Your order is confirmed”) will appear on the Customer’s screen, and a confirmation email will be sent containing the order number and details.

In the event of a payment refusal, the order will be automatically cancelled, and the Customer will be notified by email.

Once confirmed, the Customer’s order is final. Orders may not be modified or cancelled except with the prior, written, and exceptional approval of GAEA Global.

5. Delivery

Effective 16 December 2024, the following delivery cut-off times apply for Ho Chi Minh City:

Orders received between 11:00 a.m. and 5:00 p.m. (Day 1) → Delivery morning of Day 2
Orders received between 5:00 p.m. (Day 1) and 11:00 a.m. (Day 2) → Delivery afternoon of Day 2

For DTB Routing Areas (39, Đường Số 2-Kdc Sông Giồng, P. An Phú, Tp.Thủ Đức, Hồ Chí Minh, Việt Nam):
Orders received before 5:00 p.m. on Day 1 → Delivery within Day 2

To avoid delays, please ensure that all orders are submitted before the applicable cut-off times.

6. Order Disputes and Performance

If a customer places an order but fails to accept delivery or make payment, their account may be temporarily suspended and the ordering function blocked for one (1) week.

If delivery is delayed beyond 24 hours from the scheduled time due to an error by GAEA Global, the customer has the right to unilaterally cancel the order without penalty.

7. Modifications to the Terms and Offers

GAEA Global reserves the right to modify, suspend, or terminate any online offers or services displayed on www.gaea-global.com, at any time without prior notice.

In case of any inconsistency between these Special Terms and Conditions of Online Sale and GAEA Global’s General Terms and Conditions of Sale, the provisions of these Special Terms shall prevail.

8. Termination

GAEA Global reserves the right to terminate or suspend the online sales service immediately and in writing in the event of a breach by the Customer, including but not limited to:

Non-payment or repeated payment defaults;
Repeated failure to receive deliveries;

Disputes or conduct adversely affecting the commercial relationship.

9. Acceptance of the Terms

By using the online sales service and confirming an order via the website, the Customer acknowledges that they have read, understood, and accepted these Special Terms and Conditions of Online Sale.
Validation of the order constitutes full and unconditional acceptance of these terms.

10. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, without regard to conflict of law principles.
Any disputes arising from the interpretation or execution of these terms shall be subject to the exclusive jurisdiction of the competent courts in Ho Chi Minh City, Vietnam.
